These terms govern the purchase and use of CadenceOne, a macOS application published by NativLab. Please read them before buying. Buying a licence means you accept them.

2. Who you are buying from
Payments for CadenceOne are processed by Paddle.com Market Ltd, acting as our authorised reseller and merchant of record. This means that, for the payment transaction itself, your contract is with Paddle: Paddle collects the price, applies and remits any VAT or sales tax due in your country, and issues your invoice.
Paddle's own buyer terms and refund policy therefore apply to the transaction, in addition to the present terms. NativLab remains the publisher of the software and the party granting you the licence described in section 5, and remains your contact for support and for anything concerning the application itself.

Prices are stated in euros. The final amount payable, including any tax applicable in your country, is displayed at checkout before you confirm your order. Larger teams are quoted individually.
We may change our prices at any time. A change never affects a licence already purchased.
4. Free trial
CadenceOne can be used free of charge for 14 days, with every feature unlocked. The trial requires no account, no email address and no payment method. It is tracked locally on your Mac. When it ends, the application keeps your data readable and exportable; a licence is required to continue using it fully.
5. Licence
5.1 What you get
We grant you a personal, non-exclusive, non-transferable right to install and use CadenceOne. The software is licensed, not sold; we retain ownership of it and of all intellectual property rights in it.
- Lifetime licence: one named user, on all Macs that user personally owns. It does not expire. It includes free updates within the same major version (for example, all 1.x releases). A future major version may be a paid upgrade.
- Team licence: a number of seats, valid for one year and renewable. One seat is used by one named manager. Seats may be reassigned when someone leaves the team, but may not be shared simultaneously by several people. Team licences are delivered as one key per seat under a single invoice.
5.2 What you may not do
- Resell, rent, sublicense, publish or otherwise distribute the software or your licence key.
- Share your licence key outside the scope described above, or circumvent the licensing mechanism.
- Modify, decompile or reverse engineer the software, except where and to the extent such acts are permitted by mandatory law — in particular the right to obtain interoperability information under article L122-6-1 of the French Intellectual Property Code.
- Remove or alter any copyright or attribution notice.
Serious or repeated breach of this section may lead us to terminate the licence. Your data remains yours and stays on your Mac; termination affects your right to use the software, not your notes.
6. Ordering and delivery
An order is placed by completing the checkout process and confirming payment. The contract is formed when payment is accepted.
Delivery is immediate and electronic: your licence key is sent to the email address you provide at checkout, normally within a few minutes. The key activates the application offline — there is no account to create and no server to connect to. If your key does not arrive, check your spam folder, then write to contact@nativlab.app and we will resend it.
7. Trial, withdrawal and refunds
Try CadenceOne free for 14 days before you pay anything. The trial is complete and unrestricted — every feature, no account, no card. It exists so that you know exactly what you are buying before you buy it.
Because of that, purchases are final and we do not offer refunds for change of mind. Please use the trial.
7.1 Statutory right of withdrawal
Consumers in the European Union normally have 14 days to withdraw from a distance contract. However, because CadenceOne is digital content delivered immediately, you are asked at checkout to request immediate delivery and to acknowledge that you thereby lose your right of withdrawal once delivery has begun, in accordance with article L221-28 13° of the French Consumer Code.
7.2 When we do refund
The absence of a change-of-mind policy is not an absence of good faith. We refund you in the following cases:
- Duplicate or accidental purchase — you bought the same licence twice, or bought the wrong offer.
- Non-delivery — your licence key never reached you and we are unable to deliver a working one.
- Non-conformity — the software does not do what this site says it does, and we cannot fix it within a reasonable time. This case is your statutory right, described in section 8, and nothing here limits it.
Write to contact@nativlab.app from the email address used at purchase. Refunds are issued by Paddle to the original payment method, usually within a few working days.
Paddle, as merchant of record, applies its own buyer terms to the transaction and may grant a refund at its discretion, independently of this section.
8. Legal guarantees
Whatever these terms say, consumers benefit from the legal guarantee of conformity for digital content and digital services (articles L224-25-12 and following of the French Consumer Code) and from the guarantee against hidden defects (articles 1641 and following of the French Civil Code). These guarantees are free of charge and are not limited by this contract.
If the software does not conform to what is described on this site, you may require it to be brought into conformity and, failing that, obtain a price reduction or a refund.
9. Support and updates
Support is provided by email at contact@nativlab.app, in English or French, on a best-effort basis and normally within a few working days. NativLab is a one-person company; there is no guaranteed response time unless one has been agreed in writing for a team licence.
Updates are published from time to time and are announced by email to licence holders. We do not guarantee that a given feature will exist forever, nor that the software will run on future versions of macOS beyond reasonable effort.
10. Liability
CadenceOne is a note-taking tool. It is your responsibility to keep backups of anything you cannot afford to lose; the application provides a full export to JSON for that purpose.
For professional buyers (team licences and any purchase made for business purposes), our total liability arising out of or in connection with the contract is limited to the amount you paid for the licence during the twelve months preceding the event, and we are not liable for indirect or consequential loss, loss of profit, loss of business or loss of data. Nothing in these terms limits liability for gross negligence, wilful misconduct, or personal injury, or any liability that cannot lawfully be limited.
11. Personal data
CadenceOne runs entirely on your Mac. Your notes, your team members' names and everything you write in the application stay in a local container on your machine. NativLab does not collect, receive, host or process that content, and has no technical means of accessing it.
The only personal data we handle in connection with a purchase is the email address attached to your licence, used to deliver your key and to notify you of updates. Payment and billing data are processed by Paddle as merchant of record. You may exercise your rights of access, rectification, erasure, restriction, objection and portability at contact@nativlab.app, and lodge a complaint with the CNIL (cnil.fr).
12. Changes to these terms
We may amend these terms for future orders. The version applicable to your purchase is the one published on this page on the day of your order. Material changes are announced on this page with a new "last updated" date.
13. Governing law and disputes
These terms are governed by French law. This does not deprive a consumer of the protection afforded by the mandatory rules of the country in which they habitually reside.
In the event of a problem, please contact us first at contact@nativlab.app — most things are settled in one email. Because purchases are concluded with Paddle as merchant of record, complaints about the transaction itself (payment, invoice, refund) may also be addressed to Paddle under its own buyer terms. Consumers resident in the European Union may in addition use the European online dispute resolution platform at ec.europa.eu/consumers/odr.
Failing an amicable settlement, the competent courts are those designated by the applicable rules of jurisdiction.
